Applicable Law

By visiting the MyHEAT website, you agree that the laws of the province of Alberta, without regard to principles of conflict of laws, will govern these Terms of use and any dispute of any sort that might arise between you and MyHEAT.

Indemnification

You agree to indemnify, defend and hold harmless MyHEAT, its officers, directors, owners, partners, employees, agents, licensors, suppliers and any third party information provider to the website from and against all losses, expenses, damages and costs, including legal fees, resulting from any violation of these Terms of Use (including negligent or wrongful conduct) by you or your use and access of the MyHEAT website.

Disputes

Any dispute relating in any way to your visit or access of the MyHEAT website, or to the products or services you purchase through the MyHEAT website shall be submitted to binding arbitration in Alberta, except that, to the extent you have in any manner violated or threatened to violate MyHEAT intellectual property rights. MyHEAT may seek injunctive, or other appropriate relief in any state or federal court in the province of Alberta, and you consent to exclusive jurisdiction and venue in such courts. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of use shall be joined to an arbitration involving any other party subject to these Terms of use, whether through class arbitration proceedings or otherwise.

International Use

Given the global nature of the Internet, you agree to comply with all local rules including, without limitation, rules about the Internet, data, e-mail, privacy, copyright, and trademark infringement. Additionally, you agree to comply with all applicable laws regarding the transmission of technical data exported from the Canada or the country in which you reside.

Other Provisions

MyHEAT’s failure to insist upon or enforce strict performance of any provision of these Terms of use shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms of Use. MyHEAT may assign its rights and duties under these Terms of Use to any party at any time without notice to you. If any provision of these Terms of Use shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of any remaining provision of these Terms of Use. Any rights not expressly granted herein are reserved.

Section B: Customer Data Purchase Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS A BINDING ARBITRATION PROVISION, A SMALL CLAIMS OPTION, AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

1. THE SERVICE AND DATA LIMITATIONS

MyHEAT Imagery Inc. (“MyHEAT”) provides thermal imagery and heat loss ratings (the “Data”) as a snapshot in time. By purchasing, you acknowledge and agree that:

  • Environmental Variables: Thermal Data is affected by emissivity, atmospheric conditions, and reflective surfaces (e.g., glass, polished metal) which may create “false positives” or inaccuracies.
  • Temporal Nature: The Data reflects conditions at the specific moment of aerial capture. It does not account for subsequent renovations, weather changes, or occupant behavior.
  • Not a Professional Audit: The Data is an estimation tool and is not a substitute for a professional on-site energy audit, structural engineering report, or home inspection.
  • Boundary Accuracy: Thermal overlays are approximate and provided for visual context only. This Data is not a land survey and should not be used to determine legal property lines.

2. NO WARRANTIES; "AS-IS" SALE

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DATA IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. MYHEAT IMAGERY INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DATA WILL BE ACCURATE, CURRENT, ERROR-FREE, OR THAT USE OF THE DATA WILL RESULT IN ANY SPECIFIC ENERGY SAVINGS OR FINANCIAL BENEFIT.

3. ALL SALES ARE FINAL

Due to the digital nature of the Data, all purchases are final and non-refundable once the Data has been delivered or made accessible to you.

4. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYHEAT IMAGERY INC., ITS DIRECTORS, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROPERTY VALUE OR COST OF REPAIRS). OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF THIS TRANSACTION, REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, OR OTHERWISE), IS LIMITED SOLELY TO THE AMOUNT PAID BY YOU FOR THE DATA. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

5. USER RESPONSIBILITY, INDEMNITY & PRIVACY

You are solely responsible for your interpretation and use of the Data. You agree to indemnify and hold MyHEAT Imagery Inc. harmless from any third-party claims (including claims from subsequent property buyers or contractors) arising from your use, or sharing, of the Data. Your purchase is also subject to the MyHEAT Privacy Policy, which governs how we collect and use your transaction information.

6. GOVERNING LAW & DISPUTE RESOLUTION

  • Governing Law: This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
  • Arbitration: Any dispute relating to this purchase shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules.
  • Small Claims Option: Notwithstanding the above, you may assert claims in small claims court if your claims qualify and so long as the matter remains in such court and advances only on an individual basis.
  • Class Action Waiver: YOU AGREE TO BRING CLAIMS AGAINST MYHEAT IMAGERY INC. ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

7. SEVERABILITY

If any provision of this Agreement is found to be unenforceable or invalid by a court or arbitrator, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
